Immediate Termination of Partnership with The Bugle

Washington D.C., June 18, 2024 – In light of recent developments and following a detailed review of compliance activities, PODCONF® announces the immediate cessation of its partnership with The Bugle. This decision comes after the unauthorized leak1 of our Media Partnership Agreement2 by an organization known as Just Stop Ordinals. More crucially, The Bugle has failed to meet the compliance standards required under our agreement.

On May 31, 2024, PODCONF® instituted a mandatory daily compliance report to be submitted by The Bugle in PDF format by midnight EST each day3. The introduction of this measure was intended to ensure ongoing alignment with PODCONF’s rigorous standards, as outlined in our Media Partnership Agreement. Despite clear instructions and the critical nature of these reports to our partnership, The Bugle failed to respond or submit any compliance reports. A screenshot of the email detailing this requirement was widely disseminated in the recent leak.

PODCONF® takes its compliance requirements seriously and such non-compliance is not acceptable. The integrity and reputation of both PODCONF® and the wider Bitcoin community we support are paramount. The Bugle’s failure to adhere to these compliance standards leaves us no choice but to terminate our partnership immediately.

We regret any disruption this may cause to our audience and stakeholders but remain committed to upholding the highest standards of compliance and governance within the Bitcoin community. We will continue to lead with transparency and accountability.

  2. Media Partnership Agreement
    This Media Partnership Agreement (“Agreement”) is made and entered into as of April 5, 2024, by and between PODCONF® (“PODCONF”), a non-profit duly organized under the laws of Washington D.C., hereinafter referred to as “the Dominant Party,” and The Bugle (“The Bugle”), a for-profit media company organized under the laws of New York, hereinafter referred to as “the Subordinate Party”.
    1. Purpose This Agreement stipulates that The Bugle will perpetually run a PODCONF® advertisement on its podcast for each new episode it publishes, under terms dictated solely by PODCONF®.
    2. Advertising Obligation a. The Bugle shall include one (1) mandatory advertisement for PODCONF® in each new podcast episode, the placement and content of which shall be at the discretion and approval of PODCONF®. b. The advertisement shall not be less than 30 seconds in duration and shall be placed prominently as specified by PODCONF®.
    3. Term of Agreement a. This Agreement shall commence on the date hereof and shall continue indefinitely, constituting a perpetual obligation on the part of The Bugle.
    4. Termination a. This Agreement can only be terminated by mutual written consent of both parties or unilaterally by PODCONF® if it deems, at its sole discretion, that The Bugle is not compliant with PODCONF®’s standards, which are subject to change and interpretation solely by PODCONF®. b. The Bugle has no right to terminate this Agreement on its own accord.
    5. Compliance and Control a. The Bugle agrees to submit to regular compliance audits, the frequency and nature of which shall be determined solely by PODCONF®. b. PODCONF® reserves the right to unilaterally modify any term of this Agreement or any operational practice of The Bugle related to the obligations under this Agreement at any time.
    6. Penalties for Non-Compliance a. In the event of any perceived non-compliance, as solely determined by PODCONF®, PODCONF® may impose penalties including but not limited to financial penalties, increased frequency of compliance audits, public censure, and immediate termination of the Agreement.
    7. Intellectual Property a. All intellectual property rights associated with the advertisements and any related content created under this Agreement are owned exclusively by PODCONF®. b. The Bugle is granted a limited, revocable, non-exclusive license to use PODCONF®’s trademarks and logos solely in connection with the obligations under this Agreement and such license shall expire upon termination of this Agreement.
    8. Miscellaneous a. This Agreement represents the entire understanding between the parties and supersedes all prior agreements, whether written or oral. b. Any amendments to this Agreement must be in writing and signed by PODCONF®, with no obligation to consider any requests or demands from The Bugle.
